Please read these Terms & Conditions carefully before engaging Ziel Marketing Agency for any services. These terms govern our relationship and set out both parties' rights and obligations.

1. Acceptance of Terms

By accessing or using any services provided by Ziel Marketing Agency ("Ziel", "we", "us", or "our"), you confirm that you are at least 18 years of age, have read and understood these Terms & Conditions, and agree to be bound by them. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree with any part of these terms, you must not use our services or website.

2. Services

Ziel Marketing Agency provides digital marketing, brand identity, website design, local SEO, and conversion strategy services. The specific scope, deliverables, timelines, and fees for any engagement are set out in a separate Statement of Work ("SOW") or project agreement signed by both parties. We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

3. Intellectual Property

All work product, deliverables, designs, copy, and creative assets produced by Ziel Marketing Agency for a client become the property of the client upon full and final payment of all outstanding invoices related to that project, unless otherwise agreed in the SOW. Until full payment is received, all deliverables remain the sole intellectual property of Ziel Marketing Agency. We retain the right to display completed work in our portfolio and case studies unless the client requests confidentiality in writing. Our website content, logo, brand assets, and proprietary methodologies remain the exclusive property of Ziel Marketing Agency at all times.

4. Payment & Fees

Project fees, payment schedules, and billing terms are outlined in the applicable SOW or proposal. Unless otherwise stated: • A non-refundable deposit of 50% is required before project commencement. • Remaining balances are due upon project completion or as stipulated in the SOW. • Invoices are payable within 14 days of issue. • Late payments accrue interest at 1.5% per month after the due date. Ziel Marketing Agency reserves the right to pause or terminate work on a project if payments are overdue by more than 30 days.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This includes business plans, financial data, client lists, marketing strategies, and technical systems. Confidentiality obligations survive the termination of any project or agreement for a period of three (3) years. Neither party will disclose confidential information to third parties without prior written consent, except as required by law.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Ziel Marketing Agency will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or loss of data — arising out of or related to our services, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising from or related to services provided shall not exceed the total fees paid by the client for the specific project giving rise to the claim during the twelve (12) months preceding the claim.

7. Termination

Either party may terminate a project engagement with 30 days written notice. In the event of termination by the client, fees are due for all work completed and expenses incurred up to the termination date. The non-refundable deposit is forfeited. We may terminate immediately if the client engages in conduct that is unlawful, harmful, or in violation of these Terms, or fails to pay overdue invoices after written notice.

8. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Cook County, Illinois.

9. Changes to These Terms

We reserve the right to update these Terms & Conditions at any time. Material changes will be notified via email or a notice on our website. Continued use of our services after changes take effect constitutes your acceptance of the revised terms. We encourage you to review this page periodically.
